For Freelancers and individuals, you are covered by the license. For Businesses, fees are calculated based on the number of employees within the company and it is not limited to the fonts users. Annual licenses are adjusted based on the current number of employees at each renewal.

Perpetual or Annual [B] [C]

The Annual license is ideal for various scenarios such as events and campaigns. The Perpetual license requires a one-time payment to enjoy perpetual use without concerns about font licensing, ensuring continued validity as your business grows.

License Agreement

Intro & Grant Of License

This license Agreement from Enrico Sogari / Sogari Design ("Enrico Sogari", "we" or "us") outlines your rights and responsibilities regarding Enrico Sogari digital typeface software (each a "Font") that you may choose to license from us ("Enrico Sogari Product/Products"). By purchasing, downloading, installing and using any Enrico Sogari Product, you agree to abide by this license Agreement (the “license Agreement”). In the process of acquiring Enrico Sogari Products, you agree to pay our license fees (the “Fees”). These Fees are determined based on the Business Size and the specific Enrico Sogari Products requested. In exchange for the payment of Fees, we grant a non-exclusive, non-transferable license to use Enrico Sogari Products to the named licensed natural person or entity (“Licensee”), as defined in this license Agreement (a “License”). If you agree to license Enrico Sogari Products on behalf of a Licensee, you confirm that you have the authority to bind the Licensee to this license Agreement. Each license granted by us: [1] Is non-exclusive; [2] is personal, meaning it is granted solely to the person or entity that initially licenses Enrico Sogari Products from us and cannot be shared, transferred, or assigned to any other person or entity without our prior written consent or as permitted under this license Agreement; [3] permits the Fonts to be used strictly in accordance with all Usage Restrictions. When you agree to license Enrico Sogari Products for use by an entity, you affirm that you have the authority to bind that entity to this license Agreement and to license Enrico Sogari Products on its behalf. To qualify for licensing under this agreement, you must be either a natural person or an entity.

Definitions

In this license Agreement: [1] “you” denotes the individual entering into this license Agreement and, where applicable, the entity (such as a Licensee) on whose behalf this license Agreement is or has been entered into; [2] “entity” refers to a legally recognized corporate entity; [3] “font” encompasses typeface, bitmap, and any technology resulting in its representation; [4] “use” pertains to the accessibility, inclusion, or replication of any Fonts or the typefaces they represent in any part of a work, across any medium; [5] “computer applications” includes software applications like Affinity Designer, Adobe Photoshop or Microsoft Word; [6] “electronic publications” covers formats such as eBooks, eMagazines, eNewspapers, interactive PDFs and similar.

Fee Based On Business Size

Fees are calculated based on the number of personnel within the Licensee's entity ("Business Size"). This includes all employees, consultants, contractors, freelancers, and temporary workers engaged directly or indirectly by the Licensee ("Personnel"). You are required to report the Business Size to us during the order process for an Enrico Sogari Product. You and the Licensee confirm that the reported Business Size, whether at the time of order or subsequently, is accurate. If the Business Size is under reported, the license will be automatically terminated and voided. In case there has been an increase, we reserve the right to adjust Fees for the upcoming license year. The increase will be based on our current annual license Fee rates applicable to the Business Size. The Licensee failure to provide the Business Size data upon request, constitutes a material breach of this license Agreement. For Freelancers and individuals, the license covers you.

Standard [A] Usage Scope

This license permits the Licensee to use Enrico Sogari Products personally (if the Licensee is a natural person) or within the Licensee’s entity (if the Licensee is an entity), referred to as your "Business." Specifically: [1] you are licensed to install the Fonts on an unlimited number of devices owned and controlled by your Business; [2] you may use Enrico Sogari Products in an unlimited number of computer applications; [3] you may use Enrico Sogari Products in periodical publications published in print and digital formats (e.g. magazines and newspapers), provided they are controlled by your Business; [4] Enrico Sogari Products may be used in the Licensee’s advertising, marketing, and promotions, as well as in the artwork of logos, brand identities, product packaging and trademarks owned and controlled by your Business; [5] Enrico Sogari Products can be embedded in PDF. The Fonts are provided in OTF and TTF formats.

Unlimited [B] Subscription [C] Usage Scope

This license permits the Licensee to use Enrico Sogari Products personally (if the Licensee is a natural person) or within the Licensee’s entity (if the Licensee is an entity), referred to as your "Business." Specifically: [1] you are licensed to install the Fonts on an unlimited number of devices owned and controlled by your Business; [2] you are licensed to install the Fonts on servers or cloud controlled by your Business; [3] you may use Enrico Sogari Products in an unlimited number of computer applications; [4] you are permitted to use Enrico Sogari Products on your Business-controlled website (managed by your Business under a specific domain or sub-domain of that domain name), a separate License is required if you intend to use Enrico Sogari Products on a domain different from the domain specified at the time of purchase; [5] you may use Enrico Sogari Products in periodical publications published in print and digital formats (e.g. magazines and newspapers), provided they are controlled by your Business; [6] you may use Enrico Sogari Products on social media accounts (e.g. Instagram, TikTok, YouTube - regardless of the number of followers), provided they are controlled by your Business; [7] you may use Enrico Sogari Products in mobile apps (including mobile apps distributed through the Apple App Store and Google Play Store - regardless of the number of users), provided they are controlled by your Business; [8] you are authorized to embed Enrico Sogari Products in electronic publications like eBooks and online Magazines, produced and controlled by your Business; [9] Enrico Sogari Products can be used in Film, TV and Steaming content controlled by your Business; [10] Enrico Sogari Products may be used in the Licensee’s advertising, marketing, and promotions, as well as in the artwork of logos, brand identities, product packaging and trademarks owned and controlled by your Business; [11] Enrico Sogari Products can be embedded in PDF. The Fonts are provided in OTF, TTF, and WOFF2 formats.

License Duration Options

You have the option to choose between an Annual or Perpetual license. [1] Annual License: If you choose a yearly license [B] [C], it spans a "license Year" starting from the date of the receipt or invoice issued for the relevant Enrico Sogari Product. Subsequent license Years begin on the anniversary of that date. At the conclusion of each license Year, you agree to pay the Fees for the following license Year in advance. Upon receipt of the Fees before the start of the new license Year, your license will continue for that period. We reserve the right to increase the Fees for any license Year and will notify you of any changes 7 days prior to the payment. You may terminate your Annual license at any time by updating your settings. If Fees for the subsequent license Year are not received by us, the license automatically terminates at the end of the current license Year. [2] Perpetual License: If you opt for a Perpetual license [A] [B], its duration continues indefinitely unless terminated under this license Agreement. We retain the right to terminate any license, whether Yearly or Perpetual, under the circumstances specified in Termination of License.

Usage Restrictions

The license requires that you and your Personnel do not: [1] convert a Font from one file format to another; [2] modify, adapt, or create derivative versions of a Font; [3] reverse engineer, extract, decompile, or attempt to discover the source code of Enrico Sogari Products, unless explicitly permitted by applicable law for the purpose of acquiring information needed to develop interoperable software; [4] use a Font in creating letterform-based products for sale or in products/services intended for such creation; [5] embed a Font or any subset of it in hardware, firmware, operating systems; [6] allow access to any Font by unlicensed third parties or the general public; [7] upload Fonts to online storage platforms (e.g., GitHub, Google Cloud Storage, Amazon S3) where unlicensed third parties can access them; [8] use Fonts in applications where unlicensed third parties could customize their own designs or create static documents/images (e.g., online design apps, iron-on lettering products, print-on-demand services); [9] use the Font to train or enhance any artificial intelligence (AI) models, including machine learning algorithms, neural networks, or other AI applications.

Intellectual Property Ownership

You acknowledge and agree that we exclusively own all rights, titles, and interests in and to the Software, Fonts, Enrico Sogari Products, and the typefaces they depict, including any copyrights associated with them. The Enrico Sogari Products are protected by copyright under German legislation and international copyright treaties. Font names are also our trademarks. We reserve all rights not explicitly granted in this license Agreement.

Restrictions On Copying

You are strictly prohibited from copying or distributing any Enrico Sogari Products except as expressly permitted in this license Agreement. All copies of Enrico Sogari Products must be maintained under your exclusive control. You must ensure that every copy and distribution of Enrico Sogari Products retains the same copyright and ownership notices present on the original products provided by us.

Payment And Your Details

You commit to providing accurate and current information when ordering Enrico Sogari Products. If you choose to use a credit, debit card for fee payments, you must ensure that you have full authorization to use the card. We may contact you for service-related emails regarding your Enrico Sogari Products, such as notifications about available Fonts updates. All fees are not inclusive of VAT or any applicable local sales tax unless otherwise specified, these taxes must be paid in accordance with current legal regulations.

Data Protection

We commit to handling the personal data you provide in compliance with our Privacy Policy.

No Right Of Withdrawal

Due to the unique characteristics of Font files, once you license Enrico Sogari Products, you acknowledge that there is no provision for canceling your license or this agreement during any withdrawal period.

Font Warranty

It is your responsibility to ensure that the application you intend to use with Enrico Sogari Products supports the font format in which the Font is supplied. We provide a warranty that each Font will perform for a period of sixty days following the completion of your order for the relevant Enrico Sogari Products. To initiate a warranty claim during this period, you must contact us and provide sufficient evidence that the Font has failed to meet this warranty. In such cases, we will make a sincere effort to either repair or replace the Font. We provide no warranty regarding the performance or results that may be achieved through the use of Enrico Sogari Products.

Disclaimer Of Liability And Excluded Losses

Enrico Sogari is not liable for any failure to fulfill its obligations under this license Agreement due to circumstances beyond its reasonable control. Your use of Enrico Sogari Products carries inherent risks, and we disclaim all liability to you or any third party for any indirect or consequential losses or damages, such as loss of data, profits, revenue, or business, regardless of the cause, whether due to negligence, breach of this license Agreement, or any other reason. We do not guarantee or warrant Enrico Sogari Products, excluding all implied conditions, terms, representations (except for fraudulent or negligent representations), and warranties, whether imposed by statute, operation of law, or otherwise, unless expressly stated in this license Agreement. This exclusion covers implied warranties of satisfactory quality for a particular purpose, except where such exclusions are prohibited by law. Your statutory consumer rights remain unaffected.

Maximum Liability

Without limiting clause Disclaimer of Liability and Excluded Loss, the total liability of Enrico Sogari, whether arising from negligence or any other cause, shall not exceed an amount equivalent to the Fees paid for the relevant Enrico Sogari Products. This limit applies regardless of the nature or cause of the claim.

Non-Excluded Liabilities

This license Agreement and any license do not limit Enrico Sogari’s liability for death or personal injury caused by our negligence, or any other liability that cannot be excluded by law.

Audit Requirements

In the event that Enrico Sogari finds sufficient grounds to suspect infringement of this license Agreement or a license, you acknowledge and agree, on behalf of yourself and any entity licensing Enrico Sogari Products from us, that we reserve the right, with reasonable notice to the Licensee, to access any premises where Enrico Sogari Products are used, and/or to access systems through which they are used, to verify compliance with this license Agreement or a license. Failure to cooperate with such an inspection constitutes a material breach of this license Agreement.

Termination Of License

We reserve the right to terminate any or all of your licenses by sending notice to the email address provided upon registering for an Enrico Sogari Product, in the following events: [1] in case of a serious breach of this license Agreement, including non-payment of Fees or any other sums owed to us, by the Licensee or any entity using Enrico Sogari Products licensed from us; [2] if you or any entity using Enrico Sogari Products licensed from us ceases to carry on its business, undergoes liquidation or enters into any voluntary arrangement with creditors or similar actions in any jurisdiction. Upon termination of a license, the Licensee must destroy the original and all copies (including all copies stored in the memory of any hardware device) of the Enrico Sogari Products , and cease all use of Fonts. We may also suspend your license and the Licensee's rights to use Fonts or benefit from this license Agreement if we reasonably suspect a breach of this license Agreement by the Licensee. If requested by us, you must provide evidence demonstrating compliance with these requirements.

Assignment

You are prohibited from renting, leasing, sub-licensing, giving, lending, or further distributing the Font Software, or any part or copy of it, except if expressly permitted in this license Agreement. You may permanently transfer all your rights to use the Font Software to another individual or legal entity, provided that: [1] you transfer the original Font Software along with all accompanying documentation and agree to destroy all other copies (including all copies stored in the memory of any hardware device) of the Enrico Sogari Products; [2] you agree to inform Enrico Sogari in writing of the transfer with details of the transferee. Enrico Sogari reserves the right to assign this license Agreement and each license, including the assignment of all associated rights and obligations.

Entire Agreement

This license Agreement and each license constitute the complete agreement between the Licensee and Enrico Sogari regarding Enrico Sogari Products and all matters covered herein. It supersedes all prior agreements and understandings concerning these products, except in cases of fraud or fraudulent representation by either party.

Salvatorius

If any term of this license agreement or any license is deemed invalid or unenforceable by a judicial decision or decree, the remaining provisions of this license agreement and such license shall continue to be valid and enforceable.

Law

This license Agreement shall be governed by the laws of Germany and any disputes or legal proceedings will be handled entirely in Berlin.
